1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the website and services of SKILLFUL INTERNATIONAL TRADE CO., LIMITED ("Skillful", "we", "us"), a company registered in Hong Kong under Business Registration No. 76336582. By accessing the site or submitting a quote request, you agree to these Terms.
2. Eligibility & B2B Use Only
The site and our services are intended exclusively for business users (retailers, distributors, telecom operators, online sellers and similar) who are at least 18 years old and authorised to transact on behalf of their organisation. We do not sell to consumers.
3. Use of the Site
You agree not to (a) misuse the site or interfere with its operation; (b) scrape, copy or republish content for competing commercial purposes; (c) submit false or misleading information; or (d) use the site in violation of any applicable law, including export controls and sanctions.
4. Quotations & Orders
Product listings, stock lists and prices on the site are for information only and do not constitute a binding offer. Quotations issued by us are valid for 48 hours unless stated otherwise and are subject to stock availability at the time of order confirmation. Minimum order quantities (MOQ) may apply. A binding contract is formed only upon our written confirmation (proforma invoice) and receipt of agreed payment.
5. Pricing & Payment
Unless agreed otherwise, prices are quoted in US Dollars and exclude duties, taxes and freight. Payment terms are stated on the proforma invoice; typical terms include T/T in advance or irrevocable L/C at sight. Late payments may accrue interest at 1.5% per month or the maximum permitted by law.
6. Shipping, Title & Risk
Shipments are made under the Incoterms 2020 rule stated on the proforma invoice (e.g. FOB Hong Kong, CIF, DAP). Title passes upon full payment; risk of loss passes in accordance with the applicable Incoterm. Delivery dates are estimates and not guaranteed.
7. Inspection & Claims
You must inspect goods upon receipt. Claims for shortage, damage or non-conformity must be notified in writing within 7 days of delivery with photographic evidence, after which the goods are deemed accepted.
8. Warranties
We warrant that products are genuine and supplied as described in the confirmed order. Manufacturer warranties, where applicable, pass through to the buyer. EXCEPT AS EXPRESSLY STATED, ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, ARE DISCLAIMED TO THE FULLEST EXTENT PERMITTED BY LAW.
9. Limitation of Liability
To the maximum extent permitted by law, our aggregate liability arising out of or related to any order shall not exceed the amount paid by you for the specific goods giving rise to the claim. We shall not be liable for indirect, incidental, special, consequential or punitive damages, including loss of profits or business interruption.
10. Intellectual Property
All content on the site (text, graphics, logos, images, layout) is owned by or licensed to Skillful and is protected by intellectual property laws. All third-party brand names are the property of their respective owners; references are nominative and do not imply endorsement.
11. Export Controls & Compliance
You agree to comply with all applicable export, re-export, customs and sanctions laws. You confirm you are not located in, nor acting on behalf of, any sanctioned party or jurisdiction.
12. Force Majeure
Neither party is liable for delay or failure caused by events beyond reasonable control, including acts of God, war, terrorism, labour disputes, government action, pandemics, shipping disruptions or supplier failure.
13. Indemnification
You agree to indemnify and hold Skillful harmless from claims arising out of your breach of these Terms or your downstream resale, marketing or use of the products.
14. Governing Law & Disputes
These Terms are governed by the laws of the Hong Kong Special Administrative Region. Any dispute shall be submitted to the exclusive jurisdiction of the Hong Kong courts, or, at our option, to arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under its administered arbitration rules, seat Hong Kong, in English.
15. Changes
We may revise these Terms at any time by posting an updated version. Continued use of the site after changes constitutes acceptance.
